Last Updated: May 14, 2026

Welcome to Cubence. These Terms of Service are an agreement between you and Cubence regarding access to and use of the Cubence website, dashboard, API gateway, API keys, subscriptions, wallet, invoicing, and related services.

By registering, signing in, purchasing, recharging, creating an API key, or continuing to use the Services, you confirm that you have read and agree to these Terms and the policies incorporated by reference.

1. Incorporated Policies

The following policies are part of these Terms and have the same effect as these Terms:

2. Service Description

Cubence provides AI API gateway, model access, API key management, usage analytics, subscriptions, wallet recharge, invoicing, and related technical services. The Services are designed to provide developers with convenient and efficient AI programming assistance and interface access.

3. Account and Security

  • You must provide accurate and complete account information and keep it up to date.
  • You are responsible for protecting your account, API keys, tokens, and credentials, and for activity initiated through them.
  • You must notify us promptly if you discover unauthorized access, credential disclosure, or abnormal use.

4. Fees, Subscriptions, and Refunds

Fees, subscriptions, balances, coupons, invoice service fees, refunds, and cancellation rules are governed by product pages, payment pages, and the Refund and Cancellation Policy. Unless applicable law requires otherwise, used quota, promotional quota, rewards, and losses caused by violations are not refunded as cash value.

5. User Conduct

You must comply with applicable laws, third-party provider policies, and the Acceptable Use Policy. You may not use the Services for illegal, infringing, abusive, attacking, restriction-bypassing, resale, redistribution, or other conduct that harms Cubence, other users, or third parties.

6. Service Availability by Region

Cubence is available only in supported countries and regions. We may limit, suspend, or refuse the Services based on legal, sanctions, payment, risk-control, third-party provider, or business requirements.

7. Intellectual Property and User Content

  • The Cubence website, interface, code, text, graphics, trademarks, and other content are owned by Cubence or the relevant rights holders.
  • Rights in your inputs and outputs are governed by applicable law and third-party AI provider policies. We do not claim ownership of your user content.

8. Third-Party Services

The Services may depend on third-party AI models, payment, hosting, email, analytics, object storage, or other infrastructure services. When using those features, you must also comply with third-party terms and policies.

9. Disclaimers and Limitation of Liability

  • The Services are provided as is and as available. We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.
  • Code, suggestions, or other output produced through the Services are generated by AI models and may contain factual errors, outdated information, bias, security vulnerabilities, or intellectual-property risks. They are provided for reference only, and you are responsible for evaluating their accuracy, security, and suitability and for independently verifying them before any real-world use.
  • AI output does not constitute professional advice in medical, legal, financial, mental-health, tax, or other fields that require professional qualifications. You may not use such output for those purposes without review by a qualified professional.
  • You may not rely on the Services' output directly in high-risk scenarios involving personal safety, nuclear, chemical, or biological weapons, critical infrastructure, major medical decisions, or other contexts that could cause serious or irreversible harm.
  • To the extent permitted by law, we are not liable for any indirect, incidental, special, punitive, or consequential damages (including but not limited to loss of profits, loss of revenue, business interruption, data loss, or loss of goodwill).
  • To the extent permitted by law, our total liability to you will not exceed the total fees you paid for the Services in the past twelve months.

10. Service Changes and Termination

We may modify, suspend, or terminate all or part of the Services for business, security, compliance, or technical reasons. If we believe you violated these Terms or related policies, we may limit, suspend, or terminate your account and API access.

You may stop using the Services at any time and request account closure through the dashboard or at [email protected]. Closure requests are processed after identity verification, necessary financial settlement, refund review, and compliance checks; closure does not affect rights and obligations that arose before the request.

While your account is active, you may export machine-readable records such as API key metadata, orders, and invoices through the dashboard; where such functionality is not provided, you may request a reasonable data export at [email protected]. After account termination, related data is handled in accordance with the retention and deletion rules in the Privacy Policy.

11. Indemnification

You will, to the extent permitted by law, indemnify and hold harmless Cubence, its affiliates, and personnel from and against any claims, losses, fines, investigations, proceedings, or reasonable expenses (including attorneys' fees) arising from your breach of these Terms or related policies, your misuse of the Services, or content you upload or submit that infringes the rights of any third party, and you will cooperate with us in responding to such matters.

12. Force Majeure

We are not liable for interruption, delay, or failure to perform caused by events beyond our reasonable control, including natural disasters, war, civil disorder, strikes, government or regulatory action, cyberattacks, power or infrastructure outages, or failures of upstream AI, payment, or cloud services. We will notify you within a reasonable time and use reasonable efforts to restore the Services.

13. Notices

We may send notices through in-product announcements, dashboard prompts, email, or other contact methods you have provided. Unless otherwise agreed, notices are deemed delivered when sent or posted. You must keep your contact information accurate, complete, and up to date; you bear any adverse consequences of not receiving notices in time.

14. Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. We may assign or transfer all or part of our rights and obligations under these Terms to an affiliate or successor in connection with a reorganization, merger, demerger, acquisition, or to facilitate continued provision of the Services, with reasonable prior notice to you.

15. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or competent authority of competent jurisdiction, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16. Changes to These Terms

We may revise these Terms from time to time. Updated Terms will be posted on the website and become effective upon posting or on the specified date. Your continued use of the Services means you accept the updated Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the applicable laws of the jurisdiction where the website operator is located. Disputes arising from or relating to these Terms should first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to a court with jurisdiction where the website operator is located.
